90
+ any of the rights under this Agreement unless or until Meta otherwise
91
+ expressly grants you such rights.
92
+
93
+ 3. Disclaimer of Warranty. UNLESS REQUIRED BY APPLICABLE LAW, THE LLAMA
94
+ MATERIALS AND ANY OUTPUT AND RESULTS THEREFROM ARE PROVIDED ON AN “AS
95
+ IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, AND META DISCLAIMS ALL

106
+ AGREEMENT, FOR ANY LOST PROFITS OR ANY INDIRECT, SPECIAL,

+ made by or for Meta, with respect to any derivative works and
128
+ modifications of the Llama Materials that are made by you, as
129
+ between you and Meta, you are and will be the owner of such
130
+ derivative works and modifications.
131
+
132
+ c. If you institute litigation or other proceedings against Meta or
133
+ any entity (including a cross-claim or counterclaim in a lawsuit)
134
+ alleging that the Llama Materials or Llama 3.2 outputs or
135
+ results, or any portion of any of the foregoing, constitutes
136
+ infringement of intellectual property or other rights owned or
137
+ licensable by you, then any licenses granted to you under this
138
+ Agreement shall terminate as of the date such litigation or claim
139
+ is filed or instituted. You will indemnify and hold harmless Meta
140
+ from and against any claim by any third party arising out of or
141
+ related to your use or distribution of the Llama Materials.
142
+
